The Threat of Dilution and Down Rounds
Dilution is one of the biggest threats to the returns of an early stage investor. As more shares are issued in subsequent rounds including the potential dreaded "down round", an investor's proportional ownership of a company is reduced and higher exit values are required or returns may be compromised.
You can't just consider the expected exit value of the company; you need to factor in how much dilution will be incurred to get there.

SPEAKERS:
Thealzel Lee: is President and Director of E-Fund (VANTEC Entrepreneurs Fund VCC Inc.) which was established in 2011 to invest in promising new ventures across a wide range of industry sectors in BC. It currently operates two funds: E-Fund VCC I and E-Fund VCC II. Thealzel is an entrepreneur, angel investor and business strategy adviser to companies with a focus on strategy development and operational alignment. Thealzel is a senior partner with management consulting firm Rocket Builders, and co-manages the monthly Vancouver Angel Technology Network (VANTEC) and the Keiretsu Forum Northwest Region-Vancouver Chapter for her fellow angel investors. She is co-founder of Nelsa Investment (VCC) Inc.
Justin Young: is a Partner in Lawson Lundell's Private Equity and Venture Capital, Mergers and Acquisitions and Corporate Finance & Securities practice groups. Justin has acted extensively for entrepreneurs, start-ups and venture backed technology companies as well as for venture capital funds and angel investors, including on over $200 million in over 40 angel and venture capital financings since 2005, as well as on initial public offerings (IPOs) and other public offerings for technology companies. Justin regularly advises on various commercial and strategic matters, including company formation, shareholder agreements and equity compensation plans for a wide range of clients from start-ups to public companies. Justin has acted on over 30 private and public M&A transactions, including offerors and targets in friendly and unsolicited takeover bids, arrangements, asset sales, amalgamations and share sale transactions, with transaction values ranging from $2 million to $17 billion.

Carli van Maurik: is a senior business solutions lawyer and joined Whiteboard Law in 2014. Carli was formerly with a highly regarded business law firm located in Victoria, B.C., where she led their Corporate and Commercial Department. Ms. Van Maurik is actively involved in VIATeC and is a booster with VIATeC's "Accelerate Tectoria" accelerator program where she mentors start-up businesses and appears as a frequent guest speaker.
