What Is It Worth? A Discussion of Due Diligence and Early Stage Valuation
Thorough due diligence is one of the best ways to mitigate the risk of early stage investing. Come be part of the discussion and listen to four experts share their different approaches to understanding what a company is worth so that you can make more informed investment decisions. The focus of this interactive session will be on understanding how to evaluate early stage businesses, including but not limited to, how to determine the value of pre- or early revenue companies.

SPEAKERS:
Ryan Uy: Ryan is a Senior Manager in the Transaction Services team at KPMG's Vancouver office. He is a Canadian Chartered Accountant with over 12 years of professional experience and has advised on a wide breadth of transactions (acquisitions, carve-outs, disposals) across various industries, involving financial and strategic buyers from North America, Asia, the Middle East and Europe. Prior to returning to Vancouver in 2010, Ryan led the corporate development team at a Private Equity firm in Singapore with assets under management in excess of US$2 billion.
Bernd Petak: Bernd does due diligence for Espresso Capital and previously served as President and Managing Director of LX Ventures Inc. in Vancouver. Bernd spent 10 years at Deloitte as a Partner responsible for the firm's regional strategy and operations practice. Bernd left Deloitte to found his first startup, a computer game development studio, which exited via a strategic sale. Since 2006, Bernd has worked with a number of investment firms, strategic acquirers and venture capital organizations providing due diligence and investment management services. Bernd has also provided strategy and operations advice to numerous technology companies including acting as COO, CFO and CEO.
Nathan McDonald: Nathan co-founded and currently is the Chairman for the Northwest Region of the Keiretsu Forum global angel investment group. As part of his overall regional growth strategy, he created and implemented controlled expansion activities in Seattle, Bellevue, Boise and Portland. Nathan built the region into the fastest growing angel investment group in the nation, adding over 350 investor members and facilitating $65 million in funding for 113 companies. Nathan has dedicated much of his career to stimulating growth-stage capital investment including as lead organizer for the Northwest's most successful venture funding conference.
Mark Grey-Dreaper: Mark is a Chartered Accountant and Chartered Business Valuator. He is also the founder and President of XPS Group, which provides a full range of business valuation, investment banking, transaction advisory, and litigation support services. Recent engagements have included the sale of a local technology company with international operations to a U.S.-based private equity group, and a fairness opinion for the privatization and sale of a SaaS-based technology division for a publicly traded company. Mark's business valuation testimony has been accepted by the Supreme Court of British Columbia, including a case where he successfully challenged opposing valuations by using venture capital methods for pre-revenue companies.
MODERATOR:
Sarah Cunningham: Sarah is an associate lawyer with Reed Pope Law Corporation's Business Law group. Sarah advises entrepreneurs and corporate clients on private placement financings and other capital raising activities, mergers and acquisitions, corporate restructurings and commercial transactions. She also has experience with drafting commercial agreements, conducting due diligence reviews in connection with a wide range of corporate transactions, and advising on securities law compliance issues. Prior to joining Reed Pope, Sarah was an associate at McCarthy Tetrault in Vancouver where she advised private and public companies on corporate financings, mergers and acquisitions and regulatory compliance and disclosure obligations and acted for public companies in public securities offerings.
